The transaction is expected to close in the second quarter of the year, resulting in a charge of approximately $5.8 billion. While the deal is viewed as strategically sound by industry experts, some analysts noted that the relatively low premium could invite competing offers from other major pharmaceutical players, such as AbbVie Inc. or Bristol-Myers Squibb Company. In addition to its leukemia program, Terns is also developing treatments for obesity and metabolic liver diseases, further expanding Merck's reach into high-growth therapeutic areas.
