The measure failed overwhelmingly as investors backed the board's preference for a decentralized management structure across its nearly 200 businesses. ### Decentralization Wins Over Centralized Reporting The rejected proposal, introduced by shareholder Myra Young, argued that a decentralized structure creates inconsistent human capital management. Young cited safety concerns from NetJets pilots and a 2021 fire at a Lubrizol chemical plant that resulted in $380 million in property damage as evidence of oversight gaps.
