UCB to acquire Neurona Therapeutics for 1.15 billion dollars
The Belgian group will pay 650 million dollars upfront for the clinical-stage firm. The deal is expected to close by the end of the second quarter of 2026.
The Belgium biopharmaceutical group UCB SA has announced a definitive agreement to acquire the United States-based Neurona Therapeutics for a total consideration of up to $1.15 billion. This strategic move is intended to significantly strengthen the group's specialized epilepsy portfolio. Under the financial structure of the acquisition, UCB will pay an initial $650 million upfront, with an additional $500 million contingent on the achievement of specific future clinical and regulatory milestones. Neurona Therapeutics, a clinical-stage biotherapeutics developer, has attracted investment from major financial institutions including Fidelity and SCHRODERS PLC. The transaction is expected to reach completion by the end of the second quarter of 2026. In conjunction with the acquisition news, UCB maintained its revenue guidance for the 2026 fiscal year while raising its expectations for annual adjusted EBITDA growth. The company now forecasts this growth to fall within the high-single-digit to mid-teens percentage range.
