The bailed-out lender Monte dei Paschi di Siena (MPS) is set to become the first major corporation to test new board-nomination rules on April 15, a process that critics describe as both opaque and potentially destabilizing. The upcoming vote pits current CEO Luigi Lovaglio, who is seeking a new term, against a rival candidate backed by the board. This test case arrives as the legislation, which became fully effective in October, allows outgoing boards to propose a complete slate of directors for a single group vote by shareholders.
