Vistra Energy Ltd. has announced a strategic acquisition of Cogentrix Energy's portfolio of 10 natural gas-fired power plants from Quantum Capital Group for approximately $4.7 billion. This significant deal will add 5,500 megawatts of net capacity across major U.S. power regions, positioning Vistra to effectively meet the growing electricity demand driven by data center expansion supporting artificial intelligence infrastructure. The acquisition is expected to close in mid-to-late 2026.
The transaction's structure involves approximately $2.3 billion in cash, $900 million in Vistra stock, and the assumption of $1.5 billion in debt, which is partly offset by expected tax benefits. This acquisition marks Vistra's second major generation capacity expansion in less than a year, following a $1.9 billion deal in May 2025 with Lotus Infrastructure Partners for seven gas-fired plants, adding nearly 2,600 megawatts of capacity.
