The approval was granted on December 29 under the nation's golden power rules, which allow for the review and conditional approval of transactions involving strategic industrial assets. This regulatory milestone triggered an immediate 7.4 percent increase in the share price of the electric motor component manufacturer following reports of the decision.
Under the terms of the transaction, EMS Euro Management Services has agreed to sell its 45.7 percent stake in EuroGroup Laminationsto FountainVest at a price of 3.85 euros per share. The deal structure includes a reinvestment mechanism where EMS Euro Management Services will commit 50 percent of its sale proceeds into a new holding company. Upon completion of the deal, this new holding company is slated to own 55.3 percent of the total voting share capital.
