Indra and EM&E Resume Merger Talks to Block German Bid
Spain resumed merger talks between Indra and EM&E to block a bid from Germany's Rheinmetall. The deal is seen as strategic for the national defense sector.
The state holding company SEPI in Spain has reportedly resumed negotiations to merge INDRA SISTEMAS SA with the privately held defense firm Escribano Mechanical & Engineering (EM&E). This strategic maneuver is intended to consolidate the national defense sector and prevent a potential acquisition by foreign competitors. According to reports from El Economista, the move is specifically designed to block a competing bid for EM&E from Germany-based RHEINMETALL AG. By folding EM&E into Indra, in which SEPI maintains a 28% stake, the Spanish government aims to keep critical defense assets under domestic control. While the final structure of the deal remains under discussion, it could involve a combination of cash and equity. EM&E is currently valued at approximately 2.3 billion euros ($2.7 billion) by its owners, siblings Angel and Javier Escribano. The family already holds a significant 14.7% stake in Indra. However, the relationship between the family and the state has faced friction; Angel Escribano recently resigned as chairman of Indra following government pressure regarding the concentration of influence within the national defense industry. Javier Escribano continues to hold a seat on the board of Indra. This intervention reflects a broader trend of the Spanish government taking a more proactive role in companies deemed vital to national interest. This strategy was previously observed in the government's involvement with Telefonica, where state influence played a role in leadership transitions. Indra and Rheinmetall have both declined to comment on the recent reports, while SEPI and EM&E did not provide immediate responses to inquiries. The resumption of these talks follows a period of uncertainty after previous discussions between Indra and EM&E reportedly collapsed due to conflict of interest concerns.
