ESG Shareholder Proposals at US Companies Fall by Half

Shareholders filed 184 ESG proposals so far this season compared to 355 last year. The decline follows new federal rules and increased political pressure.

Shareholders have filed 184 proposals promoting environmental, social, and governance (ESG) themes at United States companies so far this proxy season, marking a sharp decline from the 355 filings recorded at a comparable point last year. This decrease, which amounts to nearly half of the previous year's volume, comes as political pressure in Washington aims to shift corporate power from investors back toward management. Michael Passoff, CEO of Proxy Impact and co-author of the report, suggested that the decline is partially due to a growing preference for private negotiations between executives and shareholders to avoid public friction.

Changes in the regulatory landscape have also played a role in the shifting dynamics. Rules established by regulators appointed during the administration of former President Donald Trump have restricted the use of certain securities databases and granted companies more latitude to exclude specific votes. These measures have made it more difficult for activists to prevail in corporate contests, leading some to reconsider their strategies.
