Perpetual Sells Wealth Management Arm to Bain Capital
Perpetual Limited agreed to sell its wealth management unit to Bain Capital for $350 million. This transaction aims to streamline the firm by the end of 2026.
PERPETUAL LTD has entered into a definitive agreement to sell its wealth management division to private equity firm Bain Capital for an upfront cash payment of A$500 million, or approximately $350 million. The deal, based in Australia, includes provisions for additional payments based on the performance of the business segments both before and after the transaction is finalized.
Under the terms of the agreement, the firm may receive a further upfront payment linked to the performance of the advice business prior to completion. Additionally, an earn-out arrangement worth up to A$50 million is tied to the post-completion performance of the firm's accounting and wealth operations.

This move follows a significant shift in corporate strategy. In 2024, the company had initially proposed a A$2.18 billion transaction with KKR & Co. Inc. to divest both its wealth management and corporate trust units. However, those negotiations were later terminated, with the company opting instead to pursue a standalone sale of the wealth management arm to streamline its structure.
Chief Executive Bernard Reilly noted the importance of the divestment for the organization's future focus.

Perpetual expects to complete the transaction with Bain Capital toward the end of the 2026 calendar year.
