Paramount Skydance signs 110 billion dollar Warner Bros deal
Paramount Skydance will acquire Warner Bros Discovery for $110 billion after Netflix declined to match the offer. The deal is expected to close by late 2026.
In a landmark shift for the media industry in the United States, Paramount Skydance Corporation Class B Common Stock has reached a definitive agreement to acquire Warner Bros. Discovery, Inc. in a transaction valued at $110 billion. The deal concludes a high-stakes bidding war that ended after Netflix, Inc. declined to match a superior offer for the owner of HBO Max. The merger, which carries an equity value of $81 billion, is expected to close in the third quarter of 2026.
The acquisition will be funded by $47 billion in equity from the Ellison Family and RedBird Capital Partners, supported by $54 billion in debt commitments from Bank of America Corporation, Citigroup Inc., and Apollo Global Management, Inc.. Additionally, Paramount plans a rights offering of up to $3.25 billion of Class B stock for its existing shareholders to further strengthen the combined company's balance sheet.
