The sudden resignation of the chairman at HDFC Bank, which sparked a $16 billion market rout for India's largest private lender, has placed CEO Sashidhar Jagdishan under intense scrutiny. Atanu Chakraborty vacated his position at the $121 billion bank this month, citing disagreements regarding values and ethics. The departure has triggered a significant selloff and forced the institution into a damage control exercise to reassure investors.

While Atanu Chakraborty did not provide specific details on the nature of the \"differences\" he mentioned, reports from board members and internal staff suggest a history of friction between the former chairman and the CEO. The two leaders reportedly clashed over the bank's strategic direction and human resources policies. Despite official denials of governance or financial instability from the bank and national regulators, the stock plummeted 12% in the three days following the exit.

Shriram Subramanian, founder of the proxy advisory firm InGovern, highlighted the growing pressure on management.

"Investors will eventually look at longer-term performance but if results and stock prices underperform markets, shareholders will ask questions of management performance and seek change of leadership."

Internal sources claim that Atanu Chakraborty, a former top bureaucrat who joined in 2021, often involved himself in operational matters typically handled by the CEO. This included intervening in the performance ratings of senior executives. A notable point of contention occurred in 2024 regarding a proposed equity investment from Japan's Mitsubishi UFJ Financial Group into the bank's consumer finance arm. While Sashidhar Jagdishan advocated for the strategic partnership, Atanu Chakraborty reportedly opposed the move, citing concerns over foreign involvement and the lack of a competitive bidding process.

In a message regarding the reported friction, Atanu Chakraborty emphasized that the bank follows a structured process for governance.

"There is a structure to handling various governance and accountability issues. If the issues need a finality in the Board, then they are placed there. Its a well-laid-out process and it evolves along with changing times."

The leadership turmoil adds to existing concerns regarding the bank's $40 billion merger with HDFC Ltd in 2023. The absorption of the housing financier added roughly $77 billion in assets but brought a relatively small deposit base, which has squeezed margins and slowed growth. The bank's lending margin has fallen to 3.35% from 4.1% prior to the merger, and the loan-to-deposit ratio has climbed to 110% post-merger.

Gary Tan, a portfolio manager at Allspring Global Investments, noted that the bank's current challenges are largely linked to the execution risks of the merger. Steve Lawrence, CIO of the United States-based Balfour Capital Group, described the situation as a period of cyclical execution pressure.

"Markets demand clarity - and when execution visibility declines, leadership perception becomes a factor in valuation compression."
