Citic and Guotai Junan Increase Compliance Headcount

The offshore investment banking arms of major firms from China are aggressively expanding their legal and compliance teams in Hong Kong following a recent insider trading probe. Sources familiar with the matter report that CITIC Securities Company Limited and Guotai Junan International Holdings Limited have both launched recruitment efforts for multiple compliance roles over the past two weeks.

The move to bolster headcount follows a series of raids by local authorities on the offices of Citic CLSA and the international unit of Guotai Junan Securities Co., Ltd.. During these operations, staff were questioned as part of an investigation into suspected insider trading involving share placements. This regulatory pressure comes at a time when the city is seeing a significant rebound in fundraising activities, with equity offerings surging 164% to $103 billion last year.

According to sources, Citic CLSA is looking to add at least three professionals to its legal and compliance department, focusing on regulatory oversight and investment banking support. Meanwhile, Guotai Junan International has begun the process of hiring a senior compliance manager. This position is intended to replace a former head of compliance who left the firm just one month prior to the regulatory raid. The new hire will be responsible for managing communications with regulators and law enforcement agencies.

The investigation, announced on March 12 by the Securities and Futures Commission and the Independent Commission Against Corruption, resulted in the arrest of eight individuals, including senior executives. While the firms were not initially named, Citic Securities confirmed in a filing to the Shanghai Stock Exchange that its subsidiary was under investigation. In response, Citic CLSA has also initiated an internal audit of its banking team to identify any further potential involvement in the case.

One of the top bankers in the equities capital market division at Citic CLSA was reportedly questioned by authorities. Additionally, Samuel Pan, the head of the equity capital market division at Guotai Junan International, was also taken in for questioning. The crackdown is expected to force IPO sponsors and share placement agents to significantly tighten their internal controls and due diligence processes as the city maintains its position as a global listing venue.
